Payment Terms and Conditions

Pricing and Orders

All pricing and order terms are subject to the following conditions:

  • Currency: All prices are quoted in Indian Rupees (INR) unless otherwise specified
  • Validity: Quotations are valid for 30 days unless otherwise stated
  • Order Confirmation: Orders are confirmed upon receipt of advance payment
  • Price Changes: We reserve the right to modify prices with reasonable notice
  • Taxes: All prices are exclusive of applicable taxes unless specified

Payment Methods

We accept the following payment methods:

  • Bank transfers (NEFT/RTGS/IMPS)
  • Cheques and demand drafts

Payment Schedule

Standard payment terms include:

  • Hardware Products: 50% advance, balance on delivery
  • Software Solutions: 100% advance or as per project agreement
  • Installation Services: 25% advance, 75% on completion
  • AMC/Support: Annual payment in advance
  • Custom Projects: Milestone-based payments as agreed

Late Payment

Overdue payments may incur additional late payment charges at 2% per month. We reserve the right to suspend services for accounts with overdue payments exceeding 30 days.

Intellectual Property Rights

Our Intellectual Property

B2B Enterprises owns and retains all rights to:

  • Website content, design, and functionality
  • SimplePOS software and related documentation
  • Custom software solutions developed for clients
  • Training materials and technical documentation
  • Trademarks, logos, and brand elements

Third-Party Rights

Products from manufacturers (Zebra, TSC, TVS, Epson, DCODE) are subject to their respective intellectual property rights and licensing terms. We act as authorized distributors and cannot modify these terms.

License Grant

Upon full payment, we grant you a non-exclusive, non-transferable license to use purchased software in accordance with the provided license terms. This license does not include the right to redistribute, modify, or reverse engineer the software.

Customer Data

You retain ownership of all data created or stored using our products. We may use anonymized, aggregated data for service improvement purposes in compliance with our Privacy Policy.

Warranties and Support Services

Product Warranties

Warranty coverage varies by product type:

  • Hardware Products: Manufacturer warranty (typically 1-3 years)
  • Custom Software: 90-day defect correction warranty
  • Installation Services: 30-day workmanship warranty
  • SimplePOS Software: Ongoing updates and bug fixes

Support Services

Our support services include:

  • Technical Support: Phone and email support during business hours
  • On-Site Support: Available in Kerala and select locations
  • Remote Support: Online assistance for software issues
  • Training: User training for purchased systems
  • AMC Services: Annual maintenance contracts available

Support Limitations

Support services do not cover:

  • Issues caused by misuse, accidents, or negligence
  • Problems arising from unauthorized modifications
  • Compatibility issues with third-party software
  • Data recovery services
  • Support for discontinued products beyond the warranty period

Delivery and Risk Transfer

Delivery Terms

Our standard delivery terms include:

  • Local Delivery: Same day or next day for in-stock items
  • India-wide Shipping: 3-7 business days depending on location
  • Installation: Scheduled within 48 hours of delivery
  • Custom Products: Delivery as per project timeline
  • Force Majeure: Delays due to circumstances beyond our control

Risk Transfer

Risk of loss and title to products pass to the customer upon delivery and acceptance. Customers are responsible for inspecting products upon delivery and reporting any damage or discrepancies within 24 hours.

Installation and Acceptance

For products requiring installation, acceptance occurs upon successful completion of installation and user sign-off. Any issues must be reported immediately during the acceptance process.

Limitation of Liability

Disclaimer of Warranties

Except for express warranties provided, all products and services are provided "AS IS" without any other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Damages

Our liability for any claim shall not exceed the amount paid for the specific product or service giving rise to the claim. We shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Business interruption or loss of data
  • Costs of substitute products or services
  • Claims arising after the applicable warranty period

Indemnification

Customers agree to indemnify and hold harmless B2B Enterprises from any claims arising from their use of products or services in violation of these Terms or applicable laws.

Termination

Termination by Customer

Customers may terminate services with 30 days written notice. Termination does not affect existing obligations or warranty terms for purchased products.

Termination by B2B Enterprises

We may terminate services immediately if:

  • Customer breaches these Terms
  • Customer fails to make required payments
  • Customer engages in fraudulent or illegal activities
  • Customer violates intellectual property rights
  • Continuation of service would violate applicable laws

Effect of Termination

Upon termination, all access to services will cease, but product licenses and warranties remain in effect according to their original terms. Outstanding payments become immediately due.

Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Kochi, Kerala, India.

Dispute Resolution Process

In case of disputes, we encourage the following resolution process:

  • Direct Communication: Contact our support team for immediate resolution
  • Management Review: Escalation to management for complex issues
  • Mediation: Third-party mediation before legal proceedings
  • Arbitration: Binding arbitration as per Indian Arbitration Act
  • Legal Action: Court proceedings as a last resort

Limitation Period

Any claim or dispute must be initiated within one year of the event giving rise to the claim, or it will be deemed waived.

Modifications and Communications

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. We will notify customers of material changes through:

  • Notification during service interactions

Official communications will be sent to the contact information provided during account creation or order placement. It is your responsibility to keep contact information current.

Electronic Signatures

Electronic signatures and online acceptance are considered valid and binding. Digital records will be maintained for verification purposes.
